Terms of Service
Last updated: October 2026.
These Terms are an agreement between you and Southern East Inc., 222 Main St E, North Bay, ON P1B 1B1, Canada, for outbid.fyi. If you create an account, submit a listing, or start a paid checkout, you agree to these Terms. The Privacy Policy explains how we handle personal information. If a consumer law gives you a right these Terms do not, that law wins.
Notice
These are the first Terms for outbid.fyi. They apply from the day they are posted. The partner, AI, and business-transfer rules in the Privacy Policy apply on December 1, 2026. Before that date, no data goes to any partner. On and after that date, those rules are in effect.
Your content
You own it
"Your Content" means everything you submit, upload, or create in outbid.fyi. That includes a board URL, a name, a tagline, notes, and a sponsor card. You keep all your rights in it.
The license you give us
You give Southern East Inc. a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, adapt (for formatting and display), and display Your Content. We may do this only to:
- (a) provide, secure, maintain, and support outbid.fyi for you, including showing or sending Your Content where you direct;
- (b) show content you choose to make public on outbid.fyi, and in listings or search results that promote outbid.fyi;
- (c) improve and develop our services, including analyzing how they are used and, only where our Privacy Policy says so, training and testing models used for features of outbid.fyi; and
- (d) create statistics and anonymized information as described in our Privacy Policy.
The Privacy Policy says we do not use your personal information to train AI models. Part (c) does not change that.
Limits
We will not sell Your Content. We will not give it to a third party for that party's own purposes, including training the third party's AI models, unless you opt in or tell us to. Our service providers may handle it only to help us run outbid.fyi.
How long the license lasts
It ends when you delete Your Content or your account, except for: (i) statistics and anonymized information already created; (ii) backup copies, until they are overwritten in the normal backup cycle; (iii) anything you have already shared with others or published; and (iv) anything the law requires us to keep.
Service Data
Service Data means:
- (a) statistics and anonymized information we create as described in our Privacy Policy; and
- (b) technical and usage information about how outbid.fyi performs, such as uptime, errors, and feature usage.
Service Data does not include Your Content itself, and it does not identify you, your business, your clients, or any other person.
We own Service Data. We may use, publish, and license it for any lawful purpose, but only while it stays non-identifying, and only if each recipient agrees in writing not to re-identify anyone, not to combine it with other data to do that, and not to pass it on without the same terms. If Service Data turns out to identify someone, we will treat it as personal information under our Privacy Policy and fix the problem.
Accounts, listings, and payments
You can sign in with Google or GitHub when those providers are configured. Email and password sign-in is off. You must have the right to use the account you sign in with.
A verified listing is a one-time payment of $10. You can also verify a board for free by adding our badge to your site while signed in. We store your account id, the hostname, and the page URL, and we check that public page for the badge.
A featured bid, where that checkout is offered, is a one-time payment to raise a public bid. It is not a monthly plan.
Stripe processes card payments. We do not store your full card number. If a charge looks wrong, write to the Privacy Officer and we will look at it. The Privacy Officer's mail address is in the Privacy Policy.
Do not misuse the site, try to break it, or submit information you have no right to share. We can refuse a listing or close an account that breaks these Terms.
Sponsor slots
A sponsor slot is a monthly subscription. The card can appear between rank 1 and rank 2 on the homepage and on board pages. The price is the next open price shown on the advertise page at checkout. A launch promo can lower that price for a time.
You give us a site URL, a name, a one-line description, and an email. Stripe bills that email every month until you cancel. The card is public.
To cancel or update the card's billing, use the manage link and the Stripe billing portal. Paid sponsors confirm their email before the portal opens. Canceling stops the next renewal. If you cancel a paid sponsor plan because you declined a material change, you can ask for a refund of the prepaid unused part.
Limitation of liability
outbid.fyi is a directory. Revenue figures on listed boards are unverified. We are not affiliated with Outbid.lol. The site is provided as available. We do not promise that it will be error free or always up.
To the extent the law allows, Southern East Inc. is not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Our total liability for a claim about outbid.fyi is limited to the greater of 100 US dollars or the amount you paid us for the service in the 12 months before the claim.
This limit does not apply to liability the law does not let us limit, including fraud or injury caused by gross negligence. Some places do not allow these limits. If that is your place, the limit applies only as far as the law allows. Nothing in these Terms stops you from bringing a claim a consumer law allows you to bring.
Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply. The courts of Ontario will hear disputes, except where a consumer protection law lets you sue in your home province or country.
A French copy of these Terms is not published yet. If a Quebec language or consumer law requires a French version or extra notice, that law wins over a conflicting sentence here.
Assignment
We may assign or transfer these Terms, and our related rights and obligations, including information handled under our Privacy Policy. We may do this to an affiliate, or to a successor in a merger, acquisition, financing, reorganization, insolvency, or sale of all or part of our assets or of the business of outbid.fyi. The successor must honor these Terms and our Privacy Policy for the information it receives, unless it gives you notice and gets any consent required under Changes to these Terms and our Privacy Policy. We will tell you within 30 days after such a transfer. You may not assign these Terms without our written consent.
The business-transfer rules in the Privacy Policy apply on December 1, 2026. Before that date, we do not transfer personal information as part of a business sale. On and after that date, those rules are in effect.
Changes to these Terms
What counts as material
A change is material if a reasonable user would consider it significant. For example, it reduces your rights or our obligations, raises fees, changes how we use or share your data, changes dispute resolution or governing law, or takes away a paid feature.
Notice
We will give at least 30 days' notice of a material change, by email to account holders and with a notice on outbid.fyi. The notice will summarize the change and link to the old and new versions.
Your data
A change that expands how we use or share data applies to data we collected before the change only if you expressly agree.
Your options
If you do not agree, you can stop using outbid.fyi and close your account before the change takes effect. If you have a paid sponsor plan and you decline the change, you can cancel that plan and ask for a refund of the prepaid unused part. Write to the Privacy Officer. We will refund that unused part on request.
Other changes
Non-material changes take effect when we post them. Except as the "Your data" paragraph says, using outbid.fyi after a change takes effect means you accept the updated Terms.
History
These are the first Terms. There is no earlier version. If the law requires a change sooner, we will give as much notice as we can.
